Terms and Conditions

Welcome to PPMeasy, a project management software service operated by PPMeasy Ltd, registered in Cork, South Ireland. These Terms and Conditions (“Terms”) govern your access to and use of the PPMeasy software-as-a-service (SaaS) platform, website, mobile applications, and all related services (collectively, the “Services”).

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy, which together form the agreement between you and PPMeasy Ltd. If you do not agree to these Terms, you must not use or access the services.

PPMeasy is intended for lawful use by individuals and organisations seeking project management and team collaboration tools. Users must be at least 18 years old or have reached the age of legal majority in their jurisdiction.

1. Accounts

a. Registration

To use PPMeasy, you must create an account and provide accurate, current, and complete information as prompted. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to:

• Use your account only for lawful purposes.
• Not share your login credentials with others.
• Notify us immediately if you suspect unauthorized access to your account.

PPMeasy reserves the right to suspend or terminate accounts that violate these Terms or are used for illegal, fraudulent, or abusive purposes.

b. Subscription and Payments

All payments and billing for PPMeasy subscriptions are securely processed through Stripe, a trusted third-party payment processor. By subscribing to PPMeasy, you authorise Stripe to charge your payment method for the applicable fees on a recurring basis (monthly or annually, as selected).

• Payment Security: PPMeasy does not collect or store any financial data such as credit card numbers. All payment details are handled exclusively by Stripe in accordance with its privacy and security policies. Corporate (Enterprise) accounts may be payable by company invoice if agreed at time of initiation of contract.
• Taxes: Subscription fees may be subject to applicable taxes or duties as required by law.
• Cancellations: You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing cycle, and no refunds are provided for partial periods unless required by law.
• Upgrades and Downgrades: Changes to your subscription plan will take effect immediately or at the next billing cycle, depending on the selected option.

2. Intellectual Property

a. Ownership

All content, features, and functionality within the PPMeasy platform - including but not limited to software, design, graphics, logos, trademarks, interfaces, text, and data compilations - are the exclusive property of PPMeasy Ltd or its licensors and are protected by applicable copyright, trademark, and intellectual property laws.

• You are granted a limited, non-exclusive, non-transferable license to use the Services solely for your internal business or personal project management purposes.
• You may not copy, modify, distribute, sell, or create derivative works based on any part of the PPMeasy platform without our prior written consent.
• You retain ownership of any content, data, or materials you upload or input into PPMeasy (“User Content”), but you grant PPMeasy a worldwide, royalty-free license to store, process, and display that data for the sole purpose of operating the Services.

b. Feedback

By submitting ideas, suggestions, or feedback to PPMeasy, you agree that we may use such information without restriction or compensation to you.

3. Termination

You may terminate your account at any time by following the instructions in your account settings. Upon termination, your right to use the Services will cease immediately.

PPMeasy may suspend or terminate your account, without prior notice, if:

• You breach these Terms.
• You misuse the Services or engage in conduct harmful to others.
• Required by law or regulatory authority.

Upon termination:

• Your access to the platform will be revoked.
• We may delete your stored data and project information after a reasonable retention period, in accordance with our Privacy Policy.
• Outstanding payment obligations (if any) will remain due.

If termination is due to our fault (e.g., service discontinuation), you may be eligible for a pro-rated refund of prepaid fees.

4. Limitations of Liability

a. Disclaimer of Warranties

The Services are provided on an “as is” and “as available” basis. PPMeasy makes no representations or warranties of any kind - express, implied, or statutory - regarding the reliability, availability, or suitability of the Services for any particular purpose.

• Implied warranties of merchantability or fitness for a particular purpose.
• Non-infringement of third-party rights.
• Continuous or error-free operation of the software.

b. Limitation of Liability

• PPMeasy, its affiliates, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use or inability to use the Services.
• In no event shall PPMeasy’s total liability exceed the amount you have paid to PPMeasy for the Services during the twelve (12) months immediately preceding the event giving rise to the claim.

You understand and agree that your use of PPMeasy is at your own discretion and risk.

c. Indemnification

You agree to indemnify and hold harmless PPMeasy, its affiliates, and employees from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms, your misuse of the Services, or your infringement of any third-party rights.

5. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law principles.

You agree that any disputes, claims, or proceedings arising from or relating to these Terms or the use of the Services shall fall under the exclusive jurisdiction of the courts of Ireland, located in Cork.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions shall continue in full force and effect.

6. Changes to These Terms and Conditions

PPMeasy may update these Terms from time to time to reflect operational, legal, or regulatory changes. Revised Terms will be posted on our website with the “Last Updated” date modified accordingly. If significant changes are made, we will notify users via email or an in-app notice. Your continued use of PPMeasy after the updated Terms take effect constitutes your acceptance of the revised Terms.
